They&#8217;ve licensed the &#8220;Kodak&#8221; trademark for their ICO token offering, KodakCoin \u2014 which is intended to be a &#8220;utility token&#8221; (actually company scrip) on their planned KodakOne professional photography sales site.<\/p>\n<p>Last Tuesday, I got the email that KodakCoin&#8217;s ICO, sorry SAFT, launched May 21 on ICO platform <a href=\"https:\/\/cointopia.com\/\">Cointopia.<\/a> Today, they finally sent my personal sign-up link!<\/p>\n<blockquote><p><b>Subject:<\/b> The KODAKCoin SAFT Offering \/ Link to Cointopia<\/p>\n<p>Dear Interested Prospective Investor,<\/p>\n<p>Congratulations! I think I&#8217;ll put in for 100 ETH of KodakCoins. It asks for a wallet address &#8230; I must have left it in my other trousers, sorry. Hopefully Cointopia won&#8217;t be too disappointed at my incomplete submission.<\/p>\n<h3>The KodakOne platform<\/h3>\n<p>The front page is a glossy pile of swooping page elements, mugshots of the team and hype.<\/p>\n<p>Despite being for accredited investors only, they still seem to target photographers themselves\u00a0\u2014 &#8220;Reward Creativity: We build innovative blockchain technology that protects, distributes and licenses your work allowing you to focus on creating great imagery.&#8221;<\/p>\n<p>So, why blockchain? And why should you sign up for their platform?<\/p>\n<p>The product video is ten minutes, but you definitely need to watch it, for what their AI will do for your photos! Note how the &#8220;blockchain&#8221; part is literally a bit hanging off the bottom. Nobody seems to be talking about KodakCoin. There&#8217;s been just about zero social media concerning it \u2014 not even in the usual ICO shilling haunts.<\/p>\n<p>The <a href=\"https:\/\/twitter.com\/KodakOne\">@KodakOne Twitter<\/a> has 4200 followers, but <a href=\"https:\/\/twitter.com\/search?f=tweets&amp;vertical=default&amp;q=to%3Akodakone&amp;src=typd\">very few people @&#8217;ing it.<\/a><\/p>\n<p>Who are the anticipated purchasers? Is there a hidden iceberg of investment interest where nobody&#8217;s looking?<\/p>\n<p>Or is it just dead in the water, as the shine is off the crypto hype bubble, and the token is all-but-untradeable?<\/p>\n<h3>I think you&#8217;ll find it&#8217;s a bit more complicated than that<\/h3>\n<p>The KodakCoin offering was initially supposed to happen in January. What&#8217;s the holdup been? Regulatory delays, apparently.<\/p>\n<p>Jan Denecke, speaking to Vanessa Brist \u2014 content marketing manager at CrowdfundX, &#8220;a fintech marketing firm that leverages a combination of Artificial Intelligence (AI) and digital marketing to help issuers acquire retail investors and shareholders at scale&#8221; \u2014 explains that they want to do &#8220;the most compliant ICO in the world!&#8221;<\/p>\n<p>&nbsp;<\/p>\n<div class=\"jetpack-video-wrapper\"><span class=\"embed-youtube\" style=\"text-align:center; display: block;\"><iframe loading=\"lazy\" class=\"youtube-player\" width=\"735\" height=\"414\" src=\"https:\/\/www.youtube.com\/embed\/Cqc-Ec9hNeU?version=3&#038;rel=1&#038;showsearch=0&#038;showinfo=1&#038;iv_load_policy=1&#038;fs=1&#038;hl=en-GB&#038;autohide=2&#038;wmode=transparent\" allowfullscreen=\"true\" style=\"border:0;\" sandbox=\"allow-scripts allow-same-origin allow-popups allow-presentation allow-popups-to-escape-sandbox\"><\/iframe><\/span><\/div>\n<p>&nbsp;<\/p>\n<p>I&#8217;ll cover this more in the next Kodak post (coming soon!) \u2014 but there&#8217;s a new <a href=\"https:\/\/kodakone.com\/fileadmin\/white_paper\/180424_kodakone_wp.pdf\">April version<\/a> of the KodakCoin white paper. The offer therein differs in noteworthy ways from the March <a href=\"https:\/\/davidgerard.co.uk\/blockchain\/2018\/03\/08\/kodak-pt-5-kodakcoin-ico-light-paper-released\/\">light paper,<\/a> and even more so from the original January white paper \u2014 which was <i>not<\/i> widely available, but was covered in the <a href=\"https:\/\/mobile.nytimes.com\/2018\/01\/30\/technology\/kodak-blockchain-bitcoin.html?referer=https:\/\/t.co\/QNPSkwBte6?amp=1\">New York Times<\/a> and in a <a href=\"https:\/\/seekingalpha.com\/article\/4141204-kodak-white-paper-kodakone-kodakcoin\">Seeking Alpha<\/a> post. (And I have a copy here, but you&#8217;ll need to wait a few days.)<\/p>\n<p>The January white paper mentions selling SAFTs in Germany \u2014 but <a href=\"http:\/\/www.handelsblatt.com\/finanzen\/maerkte\/aktien\/virtuelle-boersengaenge-brechen-ein-die-krypto-milliardenblase-droht-zu-platzen\/22509282.html\">this article in Handelsblatt<\/a> (paywalled, sorry!) notes that WENN haven&#8217;t registered with <a href=\"https:\/\/www.bafin.de\/EN\/Willkommen\/willkommen_node_en.html\">BaFin,<\/a> the local regulator, and Germany is not mentioned in the April white paper.<\/p>\n<p>Also, if you want to know about KodakCoin, Kodak&#8217;s press office will refer you to WENN Digital. Kodak Germany&#8217;s <a href=\"https:\/\/www.kodak.com\/DE\/de\/corp\/press_center\/default.htm#page=1&amp;month=&amp;year=&amp;category=\">press page<\/a> doesn&#8217;t mention it.<\/p>\n<p>(Handelsblatt also describes the offering as &#8220;highly dubious&#8221;, &#8220;<span id=\"result_box\" class=\"\" lang=\"en\"><span title=\"\u00e4hnelt einem halbseidenen Marketing-Gag\u201c, so sein Urteil.\">a half-baked marketing gag<\/span><\/span>&#8221; and &#8220;a stumbling company with a fading name looking for a capital strike.&#8221; If you have paywall access, it&#8217;s well worth your time. It&#8217;s not the most sympathetic piece.)<\/p>\n<p>The differences are even bigger between the April white paper and the <a href=\"https:\/\/www.businesswire.com\/news\/home\/20180109006183\/en\/KODAK-WENN-Digital-Partner-Launch-Major-Blockchain\">original January press release<\/a> \u2014 <i>e.g.,<\/i> WENN Digital&#8217;s precise operational status &#8230; or, indeed, whether it can be said to exist at all:<\/p>\n<ul>\n<li><strong>January press release: <\/strong>\u201cWENN Digital\u2019s live operational copyright infringement management system is delivering revenues to photographers worldwide today and will form Phase 1 of the KODAKOne platform.\u201d<\/li>\n<li><strong>April white paper: <\/strong>\u201cWENN Digital is a newly formed Delaware corporation which has no operating history and will not have any operations unless and until the consummation of the business combination transactions described in the Offering Memorandum between it, WENN Media and Ryde. The closing of each of these acquisitions is conditioned upon, among other things, WENN Digital\u2019s receipt of $10 million in proceeds from the offerings on or before July 31, 2018. There can be no assurance that the closing conditions will be met and that the business combination with WENN Media and Ryde will be consummated.\u201d<\/li>\n<\/ul>\n<p>That&#8217;s quite the change in status. What could have brought this on?<\/p>\n<p>I don&#8217;t have smoking gun evidence of this. But it looks to me <i>very<\/i> like Ryde\/WENN wanted to do their original <a href=\"https:\/\/davidgerard.co.uk\/blockchain\/2018\/01\/12\/kodak-pt-3-kodakcoin-presale-prehistory-hot-takes-and-harsh-realities\/\">questionable paparazzi ICO<\/a> in the standard ICO manner \u2014 sell unlicensed securities to the crypto trading public in the throes of the Bitcoin bubble \u2014 and when that failed, they scored the Kodak licensing deal &#8230; and NYSE-listed company Eastman Kodak, who have almost nothing left to their name but the fact of an NYSE listing, flatly insisted that WENN do this in the most painstakingly regulation-compliant manner possible. Because companies that have been listed for decades know that you do not mess with the SEC.<\/p>\n<p>So, what now? They have a token they can only sell to rich people\u00a0\u2014 and those buyers can only sell it after a year.<\/p>\n<p>Fortunately, WENN Digital chairman Cameron Chell explains a possible way forward:<\/p>\n<p>&nbsp;<\/p>\n<div class=\"jetpack-video-wrapper\"><span class=\"embed-youtube\" style=\"text-align:center; display: block;\"><iframe loading=\"lazy\" class=\"youtube-player\" width=\"735\" height=\"414\" src=\"https:\/\/www.youtube.com\/embed\/MwYwhv7A9Rk?version=3&#038;rel=1&#038;showsearch=0&#038;showinfo=1&#038;iv_load_policy=1&#038;fs=1&#038;hl=en-GB&#038;autohide=2&#038;wmode=transparent\" allowfullscreen=\"true\" style=\"border:0;\" sandbox=\"allow-scripts allow-same-origin allow-popups allow-presentation allow-popups-to-escape-sandbox\"><\/iframe><\/span><\/div>\n<p>&nbsp;<\/p>\n<p>The present Regulation D 506(c) investors have a one-year lockin \u2014 but Chell wants to do a Regulation A+ offering later this year, in the form of tokens, which they hope to subscribe their Regulation D investors to \u2014 so that those investors will have something they can trade. He also suggests that WENN might trade these new tokens that they&#8217;d be offering under Reg A+.<\/p>\n<p><a href=\"https:\/\/en.wikipedia.org\/wiki\/Regulation_A#Regulation_A+\">Regulation A+<\/a> is part of the crowdfunding section of the <a href=\"https:\/\/en.wikipedia.org\/wiki\/Jumpstart_Our_Business_Startups_Act\">JOBS Act of 2015.<\/a> It lets you crowdfund a security offering of up to $50 million \u2014 including sales to the public.<\/p>\n<p>You can get the SEC to check over your offering first, and you can <a href=\"https:\/\/www.finance-monthly.com\/2017\/09\/the-reg-a-route-to-going-public-complement-or-substitute\/\">test the waters<\/a> and withdraw your offering if the public isn&#8217;t going for it.
