How about an <a href=\"https:\/\/ftalphaville.ft.com\/2017\/08\/30\/2193002\/crypto-bailouts-for-struggling-startups\/\">ICO for struggling instant messaging startup Kik<\/a> to get money from <a href=\"https:\/\/davidgerard.co.uk\/blockchain\/icos-magic-beans-and-bubble-machines\/\">crypto gamblers<\/a> without diluting their ownership?<\/p>\n<p>The ICO excuse in the <a href=\"https:\/\/kin.kik.com\/papers\/Kin_Whitepaper_V1_English.pdf\">white paper<\/a> is that the token, Kin, will be usable on the messaging service as a loyalty points system. The problem is that Kik tried a loyalty points system before, and <a href=\"https:\/\/kikinteractive.zendesk.com\/hc\/en-us\/articles\/115005869007-What-are-Kik-Points-\">it didn&#8217;t work then either<\/a>. The other problem, as the &#8220;Platform limitations and off-chain solution&#8221; section of the white paper notes, is that even the previous Kik Points system ran more transactions per second than the whole Ethereum system can cope with. So they&#8217;re going for a &#8220;centralized off-chain ledger,&#8221; <i>i.e.<\/i>, a database, and periodically settling to the public blockchain. A &#8220;decentralized organizational model&#8221; is so much more efficient when you run it centrally.<\/p>\n<p>This is a desperation move. Kik claimed <a href=\"https:\/\/www.recode.net\/2016\/9\/29\/13099924\/kik-messenger-growth-total-users\">300 million registered users<\/a> in 2016, but admitted in 2017 that only <a href=\"https:\/\/www.bloomberg.com\/news\/articles\/2017-05-25\/kik-messenger-app-debuts-own-digital-currency-amid-bitcoin-boom\">15 million of those are active<\/a>. Kik targets teenagers, as you can create an account without phone verification \u2014 but kids get phones earlier these days and move to other platforms as they get older. And it really doesn&#8217;t help the company&#8217;s public image that half the <a href=\"https:\/\/news.google.com\/news\/search\/section\/q\/Kik\/Kik\">Google News hits on &#8220;Kik&#8221;<\/a> are <a href=\"http:\/\/wkrn.com\/2017\/08\/22\/agent-most-middle-tenn-child-exploitation-cases-stem-from-messaging-app-kik\/\">paedophile scare stories<\/a>.<\/p>\n<p>Venture capitalists had <a href=\"https:\/\/www.crunchbase.com\/organization\/kik-interactive#\/entity\">all but given up on Kik<\/a>. But there&#8217;s money in a bubble, and &#8220;find a greater fool&#8221; has been VC strategy <a href=\"https:\/\/reddragdiva.tumblr.com\/post\/129387704618\/conversation-with-an-investor\">for a while now<\/a>, so they&#8217;ve found funders (three &#8220;blockchain hedge funds&#8221;) who&#8217;ve <a href=\"https:\/\/www.coindesk.com\/mobile-messenger-kik-raises-50-million-ahead-75-million-ico\/\">coughed up $50 million<\/a> for the Kin token presale ahead of the <a href=\"https:\/\/kin.kik.com\/\">public ICO<\/a> \u2014 the obvious attraction being the prospect of selling their tokens on exchanges later, and the company explicitly wants their token to become a &#8220;general purpose cryptocurrency&#8221; with the hope that this will take cryptocurrency <a href=\"https:\/\/www.forbes.com\/sites\/jonathanponciano\/2017\/08\/29\/billion-dollar-kik-taps-125-million-token-offering-to-energize-user-base\/#c62f4556f4ac\">&#8220;mainstream&#8221;<\/a>. If, as noted above, a <i>completely centralised<\/i> one, whose <em>only<\/em> use case for a blockchain is marketing the fundraiser.<\/p>\n<p>Ciaran Murray raises the issue that Kik&#8217;s offering <a href=\"https:\/\/twitter.com\/C1aranMurray\/status\/902843349794779137\">probably meets<\/a> the SEC&#8217;s <a href=\"https:\/\/www.sec.gov\/oiea\/investor-alerts-and-bulletins\/ib_coinofferings\">&#8220;quacks like a duck&#8221; test<\/a> for being a security, particularly if they allow the token to trade on exchanges. Kik is, unusually, not just allowing but encouraging US buyers, with <a href=\"https:\/\/kin.kik.com\/files\/user_registration_guide.pdf\">full KYC\/AML-compliant registration<\/a>; they&#8217;re a proper company that&#8217;s used to working in a regulated environment, their white paper is written much more like a reasonable prospectus than 95% of ICOs manage (though that&#8217;s not hard), and I&#8217;d <i>assume<\/i> they asked their securities lawyers first. The SEC has yet to act against an ICO, so it&#8217;s hard to guess who&#8217;ll be first. But Kik don&#8217;t feel to me like a likely first target. I could be wrong.<\/p>\n<p><strong>edit:<\/strong> by the way, remember last year when <a href=\"https:\/\/www.npmjs.com\/package\/left-pad\">left-pad<\/a> was removed from node.js&#8217; npm repository and <a href=\"https:\/\/www.theregister.co.uk\/2016\/03\/23\/npm_left_pad_chaos\/\">a whole pile of node.js-based sites broke<\/a>?
