Also, the SEC <a href=\"https:\/\/www.sec.gov\/oiea\/investor-alerts-bulletins\/ib_privateplacements.html\">isn&#8217;t very keen<\/a> on people selling restricted offerings <em>at all<\/em>:<\/p>\n<blockquote><p>You should not expect to be able to easily and quickly resell your restricted securities. In fact, you should expect to hold the securities indefinitely.<\/p><\/blockquote>\n<p>So if you&#8217;re a photographer who puts photos up on KodakOne:<\/p>\n<ol>\n<li>The only people who will be able to buy KodakCoins, to buy your photos, will be accredited investors.<\/li>\n<li>You <i>may<\/i> be able to be paid in KodakCoins if you, the photographer, are not an accredited investor yourself. (The law is not entirely clear on this, but lawyers who&#8217;ve been asked about this <a href=\"https:\/\/www.wsgr.com\/WSGR\/Display.aspx?SectionName=publications\/PDFSearch\/wsgralert-initial-coin-offerings-1017.htm\"><em>think<\/em> you probably can<\/a>.)<\/li>\n<li>When you are paid in KodakCoin, you will not be able to sell them for real money\u00a0\u2014 nobody will be able to buy them from you unless they are accredited investors. Also, you may not be able to sell them at all unless you&#8217;re an accredited investor yourself.<\/li>\n<\/ol>\n<p>This is slightly at odds with Kodak&#8217;s claims on the <a href=\"https:\/\/kodakcoin.com\/\">KodakCoin page<\/a>:<\/p>\n<blockquote><p>Our marketplace enables coin holders to buy, sell and book products and services such as flights, hotels, models, venues and studios with their coins. The marketplace will also create kickstarter opportunities for startups and service companies.<\/p><\/blockquote>\n<p>Levine contacted Kodak asking about all of this; it&#8217;s unfortunate they couldn&#8217;t find time to get back to him.<\/p>\n<p>Kodak have not as yet guaranteed to redeem KodakCoins for real money. They will be setting up <a href=\"https:\/\/www.pdnonline.com\/business-marketing\/legal\/copyright\/kodak-enters-blockchain-market-image-licensing-service-crypto-currency\/\">some sort of exchange<\/a>.<\/p>\n<p>The actual KodakCoins will be tokens on the public Ethereum blockchain, &#8220;plus its own proprietary technology.&#8221; The details aren&#8217;t clear, but they don&#8217;t really matter given the whole scheme is laughably unworkable.<\/p>\n<p><strong>Update:<\/strong> KodakCoin turns out to be a slight rebranding of a <a href=\"https:\/\/arstechnica.com\/tech-policy\/2018\/01\/kodak-apparently-re-branded-a-paparazzi-licensing-platform-as-kodak-coin\/\">paparazzi-photographer-based ICO<\/a> that WENN Digital were floating \u2014 and that they may have been founded in November in order to float.<\/p>\n<p>&nbsp;<\/p>\n<p><a href=\"https:\/\/davidgerard.co.uk\/blockchain\/2018\/01\/10\/kodaks-ico-for-a-stock-photo-site-that-doesnt-exist-yet-but-the-stock-price\/kodak-coal-plant-sunset\/\" rel=\"attachment wp-att-4007\"><img loading=\"lazy\" decoding=\"async\" class=\"aligncenter size-medium wp-image-4007\" src=\"https:\/\/davidgerard.co.uk\/blockchain\/wp-content\/uploads\/2018\/01\/kodak-coal-plant-sunset-300x180.jpg\" alt=\"\" width=\"300\" height=\"180\" srcset=\"https:\/\/davidgerard.co.uk\/blockchain\/wp-content\/uploads\/2018\/01\/kodak-coal-plant-sunset-300x180.jpg 300w, https:\/\/davidgerard.co.uk\/blockchain\/wp-content\/uploads\/2018\/01\/kodak-coal-plant-sunset-768x461.jpg 768w, https:\/\/davidgerard.co.uk\/blockchain\/wp-content\/uploads\/2018\/01\/kodak-coal-plant-sunset.jpg 1000w\" sizes=\"auto, (max-width: 300px) 100vw, 300px\" \/><\/a><\/p>\n<h3>Kodak KashMiner<\/h3>\n<p>I mentioned cloud mining in <a href=\"https:\/\/davidgerard.co.uk\/blockchain\/table-of-contents\/\">chapter 4<\/a> of <a href=\"https:\/\/davidgerard.co.uk\/blockchain\/book\/\">the book<\/a>, in the section listing Bitcoin scams. I realise I&#8217;m going so far as to brand something offered by a NYSE-listed company a &#8220;scam,&#8221; but &#8230; this pretty much is.<\/p>\n<p>What Kodak&#8217;s brand licensee Spotlite are doing is charging you $3400 to rent \u2014 not buy \u2014 a Kodak KashMiner for two years. It appears to be a rebranded <a href=\"https:\/\/shop.bitmain.com\/antminer_s9_asic_bitcoin_miner.htm\">AntMiner S9<\/a>, the most efficient commercially available Bitcoin miner.<\/p>\n<p>&nbsp;<\/p>\n<p><a href=\"https:\/\/davidgerard.co.uk\/blockchain\/2018\/01\/10\/kodak-pt-2-photographers-cant-sell-kodakcoin-and-the-kodak-kashminer-is-a-bitcoin-mining-scam\/kodak-kashminer-antminer-s9\/\" rel=\"attachment wp-att-4025\"><img loading=\"lazy\" decoding=\"async\" class=\"aligncenter size-full wp-image-4025\" src=\"https:\/\/davidgerard.co.uk\/blockchain\/wp-content\/uploads\/2018\/01\/kodak-kashminer-antminer-s9.jpg\" alt=\"\" width=\"800\" height=\"232\" srcset=\"https:\/\/davidgerard.co.uk\/blockchain\/wp-content\/uploads\/2018\/01\/kodak-kashminer-antminer-s9.jpg 800w, https:\/\/davidgerard.co.uk\/blockchain\/wp-content\/uploads\/2018\/01\/kodak-kashminer-antminer-s9-300x87.jpg 300w, https:\/\/davidgerard.co.uk\/blockchain\/wp-content\/uploads\/2018\/01\/kodak-kashminer-antminer-s9-768x223.jpg 768w\" sizes=\"auto, (max-width: 800px) 100vw, 800px\" \/><\/a><\/p>\n<p style=\"text-align: center;\"><em>The KashMiner photos aren&#8217;t consistent \u2014 the <a href=\"http:\/\/www.bbc.co.uk\/news\/technology-42630136\">BBC photo<\/a> from CES (left) and the flyer photo (centre) appear to be slightly different devices, and neither is quite identical to an AntMiner S9 (right).<\/em><\/p>\n<p>You can <em>just about<\/em> come out ahead mining Bitcoin with an AntMiner S9, before it&#8217;s rendered obsolete by the <a href=\"https:\/\/blockchain.info\/charts\/hash-rate\">ever-increasing hash rate<\/a> \u2014 <em>if<\/em> your electricity is super-cheap, <em>if<\/em> you paid the <a href=\"https:\/\/shop.bitmain.com\/main.htm?lang=en\">$2320 that BitMain currently sell it directly for<\/a>, and <em>if<\/em> you &#8230; actually get to keep all the money it makes.<\/p>\n<p>Spotlite and Kodak will install the miners at Kodak&#8217;s site in Rochester, New York, and run them off spare capacity from Kodak&#8217;s in-house coal-fired power plant. They will then send you <em>half<\/em> the proceeds, keeping the other half.<\/p>\n<p>Even as Kodak owns the power plant, the coal\u00a0\u2014 and hence the electricity \u2014 won&#8217;t be free, or even cheap enough for the customer to compete, particularly if they only get half the money. I can&#8217;t see how anyone signing up for a Kodak KashMiner can possibly make back their money over the life of the contract.<\/p>\n<p>Here&#8217;s a photo of the flyer Kodak were distributing in Las Vegas, from Matt Weinberger at <a href=\"http:\/\/uk.businessinsider.com\/kashminer-kodak-bitcoin-mining-2018-1\">Business Insider<\/a>. They&#8217;ve set out a full-page chart showing a steady monthly return of $375 over 24 months, for a total of $9,000:<\/p>\n<p>&nbsp;<\/p>\n<p><a href=\"https:\/\/davidgerard.co.uk\/blockchain\/wp-content\/uploads\/2018\/01\/kodak-miner-returns.jpg\"><img loading=\"lazy\" decoding=\"async\" class=\"aligncenter size-full wp-image-4041\" src=\"https:\/\/davidgerard.co.uk\/blockchain\/wp-content\/uploads\/2018\/01\/kodak-miner-returns.jpg\" alt=\"\" width=\"1200\" height=\"900\" srcset=\"https:\/\/davidgerard.co.uk\/blockchain\/wp-content\/uploads\/2018\/01\/kodak-miner-returns.jpg 1200w, https:\/\/davidgerard.co.uk\/blockchain\/wp-content\/uploads\/2018\/01\/kodak-miner-returns-300x225.jpg 300w, https:\/\/davidgerard.co.uk\/blockchain\/wp-content\/uploads\/2018\/01\/kodak-miner-returns-768x576.jpg 768w, https:\/\/davidgerard.co.uk\/blockchain\/wp-content\/uploads\/2018\/01\/kodak-miner-returns-1024x768.jpg 1024w\" sizes=\"auto, (max-width: 1200px) 100vw, 1200px\" \/><\/a><\/p>\n<p>&nbsp;<\/p>\n<p>But don&#8217;t worry! The facing page says:<\/p>\n<blockquote><p>All values based on Bitcoin values as of today&#8217;s date. Payout ratios will change accordingly to volatility of Bitcoin and will either go up or down.<\/p><\/blockquote>\n<p>There&#8217;s one other thing it depends on \u2014 and that&#8217;s hash rate. Per <a href=\"https:\/\/davidgerard.co.uk\/blockchain\/table-of-contents\/\">chapter 1<\/a> of the book, Bitcoin is set up so that miners eternally compete to be the one to mine the block and get the mining reward \u2014 and if blocks are getting mined too fast, mining <em>gets harder,<\/em> to keep it at one block every ten minutes.<\/p>\n<p>So the KashMiner&#8217;s output is all but certain to go down over the next 24 months. Here&#8217;s the hash rate over <a href=\"https:\/\/blockchain.info\/charts\/hash-rate?timespan=2years\">the past 24 months<\/a>, during which time it multiplied 18-fold:<\/p>\n<p>&nbsp;<\/p>\n<p><a href=\"https:\/\/davidgerard.co.uk\/blockchain\/2018\/01\/10\/kodak-pt-2-photographers-cant-sell-kodakcoin-and-the-kodak-kashminer-is-a-bitcoin-mining-scam\/bitcoin-hash-rate-jan-2016-jan-2018\/\" rel=\"attachment wp-att-4042\"><img decoding=\"async\" class=\"aligncenter size-full wp-image-4042\" src=\"https:\/\/davidgerard.co.uk\/blockchain\/wp-content\/uploads\/2018\/01\/bitcoin-hash-rate-jan-2016-jan-2018.png\" alt=\"\" height=\"80%\" srcset=\"https:\/\/davidgerard.co.uk\/blockchain\/wp-content\/uploads\/2018\/01\/bitcoin-hash-rate-jan-2016-jan-2018.png 903w, https:\/\/davidgerard.co.uk\/blockchain\/wp-content\/uploads\/2018\/01\/bitcoin-hash-rate-jan-2016-jan-2018-300x232.png 300w, https:\/\/davidgerard.co.uk\/blockchain\/wp-content\/uploads\/2018\/01\/bitcoin-hash-rate-jan-2016-jan-2018-768x594.png 768w\" sizes=\"(max-width: 903px) 100vw, 903px\" \/><\/a><\/p>\n<p>&nbsp;<\/p>\n<p>They are selling this using the Kodak brand name and the Bitcoin buzz, and there&#8217;s no way they can reasonably claim they didn&#8217;t know that this can <em>never<\/em> make a profit for the customer:<\/p>\n<p>&nbsp;<\/p>\n<blockquote class=\"twitter-tweet\" data-width=\"550\" data-dnt=\"true\">\n<p lang=\"en\" dir=\"ltr\">Kodak has now become a Bitcoin mining scam.
